Transition Town North Bay Inc. is led by a board of directors who are also members of the steering committee.  Any voting member can attend our board meetings and participate in the discussisons.  Our meetings are generally broken down into a 1 hour board meeting where we deal with administrative matters, followed by a 1 hour steering committee meeting.  

Notices of board meetings are not circulated on our regular email list.  If you are interested in participating in the board or steering committee of Transition Town North Bay, please contact the webmaster to be added to the board of directors distribution list.

SECOND ANNUAL GENERAL MEETING
St. Andrew's United Church, Cassells & McIntyre

After the Pot Luck Supper at 5:30 p.m.

Transition Town North Bay & Area is holding its second AGM, and we hope you can attend! Come to the pot luck as well, and bring others who might be interested in becoming voting members of TTNorth Bay & Area. New members will be able to sign up at the beginning of the meeting.

We will hear about the work of TTNorth Bay & Area covering the past year, and elect a Board of Directors for TTNorth Bay. The Board has a slate of people who are standing for re-election, and you are invited to present other members for election at the AGM. Proxy voting is available if you are unable to attend this meeting.*

At the AGM we will also be voting on a proposed amendment to the by-law concerning the method of giving notice for Annual General Meetings [By Law: Ten (10) days notice shall be given to each member by postal mail of any general meeting of the members.] The Board will bring an amendment which will allow for giving notice by email.

As always, there will be time to discuss future possibilities for TTNB. Bring your ideas!

*To vote by proxy, simply write a letter designating a current member to vote on your behalf, and see that you letter is brought to the meeting.

Our board has decided on February 2, 2012 as the date for our first annual general meeting. If you would like to be able to vote at this meeting we will need you to register as a voting member.

At the AGM, members will elect a board for the next three years and vote to approve the corporate bylaws.

If you can't attend the AGM you can vote by proxy. To do this, write a letter authorizing another voting member to cast a vote on your behalf. In this letter you can state how you would like that member to cast your vote. The person with your proxy letter should deliver a copy of that letter to the secretary (Jeremy St. Onge) at the AGM.

The Board of Transition Town North Bay Inc. has drafted bylaws and board policies to define the structure and governance of Transition Town North Bay Inc. As a non-profit corporation, we have a board comprised of six directors who are elected at our AGM by our voting members. The bylaws define how the AGM's are called, how notifications are sent to members, and what the powers and responsibilities of the directors are.

The board has also developed a set of board policies that provide guidelines on how the board should make decisions, such as what constitutes a conflict of interest, and defines the roles and responsibilities of the Chair, Chief Volunteer, Secretary and Treasurer.

The difference between the bylaws and the board policies is that the bylaws are a required legal document and can only be amended at an AGM by a majority vote of the members. The board policies are generally agreed upon guidelines that have been discussed by the board and are used by board members when deciding how to vote on a matter. Board policies can be amended at any time by a special resolution at a board meeting and do not require member approval.
