The Board of Transition Town North Bay Inc. has drafted bylaws and board policies to define the structure and governance of Transition Town North Bay Inc. As a non-profit corporation, we have a board comprised of six directors who are elected at our AGM by our voting members. The bylaws define how the AGM's are called, how notifications are sent to members, and what the powers and responsibilities of the directors are.

The board has also developed a set of board policies that provide guidelines on how the board should make decisions, such as what constitutes a conflict of interest, and defines the roles and responsibilities of the Chair, Chief Volunteer, Secretary and Treasurer.

The difference between the bylaws and the board policies is that the bylaws are a required legal document and can only be amended at an AGM by a majority vote of the members. The board policies are generally agreed upon guidelines that have been discussed by the board and are used by board members when deciding how to vote on a matter. Board policies can be amended at any time by a special resolution at a board meeting and do not require member approval.
